1.Introduction
These terms and conditions ("Terms") govern your use of the GTM Forge website at gtmforgesearch.com and the executive search, recruitment and advisory services provided by GTM Forge ("GTM Forge", "we", "us" or "our"). GTM Forge is an executive search and recruitment consultancy operating in England and Wales.
Specific search assignments, retainers and advisory engagements are governed by a separate written agreement between GTM Forge and the client. Where there is any conflict between these Terms and a signed engagement letter, the engagement letter prevails.
2.Acceptance of Terms
By accessing or using our website, submitting an enquiry, downloading a resource, registering as a candidate or engaging us for services, you confirm that you have read, understood and agreed to these Terms. If you do not agree, please do not use the website or engage our services.
3.Services Overview
GTM Forge provides the following services to software companies:
- Executive Search — senior leadership and board-level GTM appointments
- Retained Search — dedicated, committed search assignments under a retainer model
- Contingent Recruitment — placement of GTM and revenue talent on a success-fee basis
- Hiring Advisory — operator-led guidance on GTM hiring strategy, role design and team structure
- Candidate Assessment Services — structured evaluation of revenue capability against defined frameworks
The scope, fees and deliverables of each engagement are defined in the relevant engagement letter or statement of work.
4.No Guarantee of Placement
The recruitment process involves a number of factors outside our control. We do not guarantee that:
- any candidate will be placed in any specific role;
- any candidate introduced will accept, or be offered, employment by a client; or
- any employment relationship will succeed or continue for any period of time.
All hiring decisions, offers and ongoing employment relationships are at the sole discretion and responsibility of the relevant client.
5.Candidate Responsibility
Candidates are responsible for ensuring that any information they provide to GTM Forge — including CVs, employment history, qualifications, references, right-to-work status and compensation details — is accurate, complete and not misleading. GTM Forge relies on candidate-provided information when assessing and introducing candidates and is not responsible for inaccuracies originating from a candidate.
6.Client Responsibility
Clients are solely responsible for:
- All hiring decisions, including selection, rejection and prioritisation
- Employment offers, contracts, compensation and ongoing employment terms
- Verifying right-to-work, references and qualifications prior to employment
- Compliance with all applicable employment, equality, immigration, tax and data protection legislation
- Onboarding, management and termination of any individual hired
7.Intellectual Property
All content on the GTM Forge website, together with our brand, assessment methodologies, hiring frameworks, scorecards, downloadable resources, search processes and related materials, are the intellectual property of GTM Forge or its licensors and are protected by applicable intellectual property laws.
You may view and download materials for legitimate personal or internal business evaluation. You may not reproduce, republish, distribute, sublicense, modify or commercially exploit any of our content, frameworks or methodologies without our prior written consent.
8.Confidentiality
GTM Forge, clients and candidates each owe mutual obligations of confidentiality in relation to information shared during a search assignment. This includes candidate identities, search briefs, commercial information, compensation data, assessment notes and any non-public business information. Confidential information may only be used for the purposes of the assignment and must be protected with reasonable care.
9.Limitation of Liability
Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under English law.
Subject to the paragraph above, and to the maximum extent permitted by law:
- GTM Forge shall not be liable for any indirect, consequential, special or punitive loss, or for any loss of profit, revenue, business, anticipated savings, goodwill or opportunity arising out of or in connection with our services or your use of the website;
- our total aggregate liability arising out of or in connection with any search assignment shall not exceed the fees actually paid to GTM Forge for that specific assignment; and
- we accept no liability for the conduct, performance, suitability or retention of any candidate introduced, all of which remain the responsibility of the client.
10.Third-Party Links
Our website may contain links to third-party websites, tools or resources. These are provided for convenience only. GTM Forge does not control and is not responsible for the content, accuracy, availability or privacy practices of third-party sites.
11.Website Availability
We aim to keep the GTM Forge website available at all times but do not guarantee uninterrupted access. We may suspend, withdraw or restrict the availability of all or part of the website for business, operational or maintenance reasons, without liability.
12.Prohibited Uses
You agree not to use the GTM Forge website to:
- Breach any applicable law, regulation or third-party right
- Scrape, harvest or otherwise extract candidate or client data, content or methodologies
- Attempt to gain unauthorised access to the website, its servers or any connected system
- Introduce malicious code, viruses, trojans or other harmful material
- Use the site to send unsolicited commercial communications
- Impersonate any person, misrepresent your affiliation or submit false information through any form
13.Recruitment-Specific Provisions
13.1 Candidate introductions
An "introduction" occurs when GTM Forge provides a client with any information that identifies, or could reasonably identify, a candidate — including a name, CV, profile summary or LinkedIn link — whether shared by email, document, conversation or any other means.
13.2 Ownership of candidate submissions
Candidates introduced by GTM Forge to a client are treated as GTM Forge candidates for the duration of the assignment and for a defined protection period set out in the relevant engagement letter. Clients agree not to share candidate information with any third party, affiliate or group company without our prior written consent.
13.3 Duplicate candidate submissions
Where a candidate is already known to a client at the time of introduction, the client must notify us in writing within five working days, providing evidence of prior engagement. In the absence of such notice, the candidate will be deemed to have been introduced by GTM Forge for the purposes of any subsequent placement and fee.
13.4 Candidate referrals
Where a candidate referred or introduced by GTM Forge is engaged by the client within twelve months of introduction — whether in the role originally discussed or in any other role within the client's group — a placement fee in accordance with the engagement letter, or our then-current standard terms, will become payable.
14.Data Protection
Our processing of personal data is governed by our Privacy Policy, which forms part of these Terms. By using our website or services you acknowledge the practices described in the Privacy Policy.
15.Governing Law
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the law of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.
